Background
The Vanuatu National Provident Fund (VNPF) is evaluating a potential investment in the IFC Digital Transformation Fund, LP (IFC DT Fund), a venture capital fund targeting high-growth, tech-enabled businesses across emerging markets. The fund is managed by IFC Asset Management Company (AMC), a member of the World Bank Group, and invests across sectors including FinTech, HealthTech, EdTech, Climate Tech, AgTech, and E-logistics.

The VNPF Board has previously been briefed on this opportunity and has approved initial steps to progress further analysis and due diligence. To support informed decision-making, VNPF seeks to engage an independent external consultant to conduct a comprehensive assessment of this investment opportunity and report back to the Board.

Purpose of the Assignment
The consultant will provide an independent and objective assessment of the IFC Digital Transformation Fund investment proposal. The findings will inform the VNPF Board’s decision on whether the investment is feasible and aligned with VNPF’s investment mandate, strategic objectives, and overall risk appetite.

Scope of Work
A. Financial Review

  • Review and assess the fund’s financial structure, fee arrangements, return expectations, and investment terms.
  • Evaluate the overall financial viability of the investment and the fund’s historical performance track record.

B. Strategic and Mandate Alignment

  • Assess whether the IFC DT Fund investment is consistent with VNPF’s investment policy, strategic objectives, and portfolio diversification goals.
  • Evaluate the appropriateness of a venture capital fund investment in emerging markets technology for a provident fund of VNPF’s nature and mandate.
  • Review the fund’s approach to ESG and sustainable development and assess alignment with VNPF’s values and obligations.

C. Risk Assessment

  • Identify and assess key investment risks associated with the IFC DT Fund, including liquidity, currency, market, and governance risks.
  • Assess the fund’s risk management framework and its adequacy for an investor such as VNPF.
  • Recommend appropriate risk mitigation strategies and any conditions to be considered prior to investment commitment.

D. Regulatory and Governance Review

  • Assess whether VNPF’s participation in the fund is consistent with applicable Vanuatu laws, regulations, and the VNPF Act.
  • Review the fund’s governance structure, including investor rights and reporting obligations as a limited partner.

E. Stakeholder Consultation

  • Consult with relevant experts and stakeholders as necessary to support the assessment.

Deliverables

  • A comprehensive assessment report covering all scope areas.
  • An executive summary suitable for presentation to the VNPF Board of Trustees.
  • A debrief with VNPF management upon completion (in person or remote).

Required Qualifications and Experience

    Reporting and Supervision

    • Reports to the Manager Investment, VNPF.
    • Works closely with the VNPF Investment Department.
    • May liaise with relevant technical experts and stakeholders as required.
